These Terms and Conditions ("Terms") govern access to and use of the Chey Cloud LLC website and any website content, inquiry forms, quote requests, and general information made available through cheycloud.us (the "Website"). "Chey Cloud," "we," "us," and "our" refer to Chey Cloud LLC, a Wyoming limited liability company.
These Website Terms do not replace a signed proposal, statement of work, master services agreement, data processing addendum, invoice terms, or other written contract between Chey Cloud and a client. If a separate written agreement applies to a paid project, that agreement controls the services covered by it.
1. Acceptance of Terms
By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Website. You represent that you are at least the age of majority in your jurisdiction and have authority to use the Website on behalf of yourself or the business you represent.
2. Website Information Is Not a Binding Offer
Website descriptions, service categories, package ranges, timelines, and examples are provided for general informational purposes. They are not a guarantee of availability, outcome, price, delivery time, technical compatibility, or business results. A project becomes binding only when Chey Cloud accepts it in writing and any required payment or deposit is completed.
3. Services, Quotes, and Project Scope
Chey Cloud may provide cloud systems, software, e-commerce, web development, digital operations, automation, workflow, analytics, landing page, and related consulting or implementation services. Specific deliverables, milestones, payment terms, acceptance criteria, revision limits, support periods, and ownership terms should be stated in a written proposal, invoice, or agreement.
You are responsible for providing accurate project requirements, brand assets, product information, credentials, access approvals, legal/compliance requirements, platform decisions, and timely feedback. Delays in providing information, access, approvals, or payments may delay delivery timelines.
4. Payments and Taxes
Prices shown on the Website are starting ranges and may change. Unless a written agreement says otherwise, payments are due according to the invoice or proposal. Fees may be non-refundable once work begins, resources are reserved, third-party costs are incurred, or deliverables are provided. You are responsible for applicable taxes, platform fees, subscription fees, payment processor fees, advertising spend, domain fees, hosting fees, app fees, and other third-party charges unless otherwise agreed in writing.
5. Client Content and Permissions
You retain ownership of materials you provide to Chey Cloud, including logos, text, images, product information, customer data, account credentials, and other business content ("Client Content"). You grant Chey Cloud a limited license to use Client Content as needed to evaluate inquiries, prepare proposals, perform services, create deliverables, test systems, and provide support.
You represent that you have the rights and permissions needed to provide Client Content and that Client Content does not violate law, infringe intellectual property rights, breach privacy rights, or contain unlawful, harmful, or misleading material.
6. Intellectual Property
The Website, including its design, copy, logo, graphics, code, layout, and other materials, is owned by Chey Cloud or its licensors and is protected by intellectual property laws. You may not copy, reproduce, modify, distribute, sell, lease, reverse engineer, or create derivative works from Website materials except as allowed by law or with our written permission.
Ownership of project deliverables, source files, templates, reusable components, licensed assets, third-party software, pre-existing tools, and work product will be governed by the applicable written agreement. Unless expressly transferred in writing, Chey Cloud retains ownership of its pre-existing methods, know-how, reusable code, internal tools, processes, and templates.
7. Acceptable Use
You agree not to misuse the Website. Prohibited conduct includes attempting unauthorized access, scanning or testing systems without permission, interfering with Website operation, sending malware or harmful code, scraping content at unreasonable volume, impersonating another person or business, submitting false or misleading information, or using the Website for unlawful, infringing, fraudulent, abusive, or harmful purposes.
8. Third-Party Services
Projects and Website functionality may involve third-party services such as hosting platforms, domain registrars, payment processors, email providers, analytics tools, e-commerce platforms, advertising networks, app marketplaces, APIs, and software vendors. Chey Cloud is not responsible for third-party terms, pricing, outages, data practices, policy changes, account suspensions, or service limitations. Your use of third-party services is governed by their own terms and policies.
9. No Professional Legal, Tax, or Financial Advice
Chey Cloud provides technology and digital operations services. Website content and project recommendations are not legal, tax, accounting, financial, medical, or regulated professional advice. You are responsible for consulting qualified professionals for compliance, contracts, tax filings, privacy notices, advertising claims, regulated products, payment obligations, and other legal or financial matters.
10. Disclaimers
The Website is provided "as is" and "as available." Chey Cloud disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and uninterrupted operation. We do not warrant that the Website will be error-free, secure, current, or available at all times.
11. Limitation of Liability
To the fullest extent permitted by law, Chey Cloud LLC and its owners, officers, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the Website or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, Chey Cloud's total liability for claims arising from or related to Website use will not exceed one hundred U.S. dollars (US $100) or the amount you paid directly to Chey Cloud for the specific Website-related matter giving rise to the claim, whichever is greater. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Chey Cloud LLC and its owners, officers, employees, contractors, suppliers, and affiliates from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Website, your violation of these Terms, your Client Content, your violation of law, or your infringement or misappropriation of rights.
13. Changes to Website and Terms
We may update, suspend, discontinue, or change any part of the Website at any time. We may revise these Terms by posting an updated version on this page. The "Last updated" date shows when the current version became effective. Continued use of the Website after changes means you accept the updated Terms.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Subject to any mandatory law that provides otherwise, disputes relating to these Terms or the Website will be brought in the state or federal courts located in Wyoming, and you consent to personal jurisdiction and venue there.
15. Severability and Entire Agreement
If any part of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms and the Privacy Policy are the entire agreement between you and Chey Cloud regarding use of the Website, except for any separate written agreement that applies to paid services.
